The improvement exchange

An exchange accommodation titleholder (your QI’s affiliate) takes title to the land, your exchange funds pay construction draws during the exchange period, and by day 180 you acquire the property with completed improvements included in its value. What’s built by then counts; what isn’t, doesn’t — so the structure fits projects that can substantially complete inside six months: pad buildings, small retail, build-outs. A ground-up shopping center doesn’t fit anyone’s 180 days.

The math that decides feasibility

You need land cost plus day-180 improvements to reach your equal-or-greater target. Practical screen: if construction can plausibly hit 70-80% completion by month five (permits in hand before closing, contractor mobilized, weather season sane), the structure works; if entitlements are still theoretical, it doesn’t. EAT structures also cost real money ($7-15K+) and construction lenders need to accept the parking arrangement — line both up before your relinquished sale closes.

The alternative most buyers should take

Developer pre-sales solve the same appetite without the machinery: developers building QSR pads and c-stores sell completed, lease-commenced projects — you contract during construction and close after opening, inside your normal exchange window, as an ordinary purchase. Fresh 15-20 year lease, zero construction risk on your side of the table, standard QI fees. The improvement exchange is for buyers who must control the build; the pre-sale is for buyers who want the building. A cousin strategy — building on land you already own — has its own, harder rules.
